About Second Spring Design Inc. and Aventide
Second Spring Design Inc. is a Delaware-incorporated company that builds AI-powered tools for independent businesses. "Aventide" is the registered tradename (d/b/a) under which Second Spring Design Inc. operates its consumer-facing platform. Throughout these Terms, "Second Spring Design," "Aventide," "we," "us," and "our" all refer to Second Spring Design Inc. and its tradename Aventide. The company website is located at secondspring.design. The Aventide platform is accessible at aventide.ai and related applications.
These Terms of Service ("Terms") govern your access to and use of the Aventide platform ("Service"), operated by Second Spring Design Inc. By creating an account or using the Service, you agree to these Terms in full.
Service Description
Aventide is an AI-powered strategy platform designed for small business owners, entrepreneurs, and their teams. The Service provides:
Think: AI strategy agents for business, product, marketing, and financial guidance
Do: An execution engine that generates business documents and plans via AI-powered recipes
Hub: A Business Hub for storing and organizing business context, including facts, goals, tasks, and documents
Integrations: Connections to external business and publishing tools including Google (Calendar, Gmail, YouTube), Stripe, QuickBooks, Zoom, Canva, Framer, Instagram, Facebook, Threads, TikTok, LinkedIn, Mailchimp, and Slack, managed from your Business Hub
Reach: A proactive communication layer for reminders, notifications, and business nudges via channels you opt into (email, Telegram, SMS, Slack, and others)
Eligibility
You must be at least 18 years old to use the Service
You must have the legal capacity to enter into a binding agreement
You must provide accurate and complete information during account creation
The Service is intended for business use; it is not directed at consumers acting in a purely personal capacity
Account Responsibilities
3.1 Account Creation
One account represents one team or organization
Multiple users within the same account share access to the same Business Hub and business data — such as facts, goals, planner items, documents, and connected business integrations. Certain data remains private to each individual user, including their own AI conversation history and any integrations they've personally connected; see our Privacy Policy for details
You are responsible for ensuring that all users on your account comply with these Terms
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials
You are responsible for all activity that occurs under your account
You must notify us immediately at support@aventide.ai if you suspect unauthorized access
3.3 Account Accuracy
You are responsible for the accuracy of the business information you enter into the Business Hub
AI strategy advice is based on the information you provide; inaccurate inputs may result in less relevant or misleading outputs
Acceptable Use
You agree NOT to use the Service to:
Violate any applicable law or regulation
Infringe the intellectual property rights of others
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to other users' accounts or data
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service for competitive intelligence gathering against other specific businesses
Circumvent any usage limits, access controls, or security measures
Resell, redistribute, or sublicense access to the Service without written permission
Generate content that is illegal, hateful, harassing, or violates the rights of others
Use automated bots, scrapers, or similar tools to access the Service outside of normal use
We reserve the right to suspend or terminate accounts that violate these terms without prior notice in cases of severe or repeated violation.
Credits and Billing
5.1 Credits System
The Service uses a credits system for AI recipe executions:
Credits are granted with your subscription (monthly or annual allocation)
Credits are consumed when you run AI recipes. The number of credits consumed per recipe varies by complexity; current credit costs are shown in your account settings and at the time of subscription
Credits do not carry over between billing periods unless otherwise specified in your plan
Unused subscription credits expire at the end of each billing period
Separately, one-time credit packs purchased in addition to your subscription do not expire
5.2 Subscription Billing
Billing is managed through Outseta, our payment and subscription management provider
Subscription fees are charged in advance on a monthly or annual basis
Prices may change with 30 days written notice; continued use after the effective date constitutes acceptance of new pricing
Refunds are evaluated on a case-by-case basis at our discretion
5.3 Free Trials and Promotions
AUTO-RENEWAL NOTICE: If you sign up for a free trial or a paid subscription, your subscription will automatically renew at the end of the trial or billing period. You will be charged the then-current subscription fee for your selected plan at the time of renewal. To avoid being charged, you must cancel your subscription before the trial or billing period ends by visiting the billing portal in your account settings. By creating an account and initiating a free trial or paid subscription, you affirmatively acknowledge and agree to these automatic renewal terms.
Free trial periods, if offered, are subject to specific terms communicated at sign-up. We reserve the right to modify or discontinue trial offers at any time. At the end of a free trial, your account will convert to a paid subscription unless you cancel before the trial period ends.
5.4 Credit Refunds
If a recipe execution fails due to a platform error (not user error or invalid input), credits are automatically refunded to your balance.
5.5 Storage Limits
Each plan includes a data storage allowance covering documents, brand assets, marketing media, and other business files you store in the Service: Free 1 GB, Starter 5 GB, Pro 10 GB. You can view your current storage usage at any time in the Business Hub Files tab. If you exceed your plan's storage allowance, you may be unable to upload additional files until you free up space or upgrade your plan.
Intellectual Property
6.1 Your Data
You own your business data. All facts, goals, plans, and documents you enter or generate remain your property.
You grant us a limited, non-exclusive license to process your data solely to provide and improve the Service, including aggregated and anonymized use as described in our Privacy Policy.
You can export your data at any time. You may request complete deletion of your data upon account cancellation.
If you import data from a third-party platform using an authorized connector, you represent that you are the account owner or are otherwise authorized to export and transfer that data.
6.2 AI-Generated Content
You own the documents and outputs generated by AI recipes using your business context.
AI-generated content is provided as a starting point. You are responsible for reviewing, validating, and adapting it for your specific situation.
We do not guarantee that AI-generated content is original, accurate, or free from third-party intellectual property claims.
6.2.1 Templates
Prebuilt, AI-generated, and user-uploaded templates are provided as general starting points only and do not constitute legal advice. No attorney-client relationship is created by using any template on the platform. Templates are not tailored to any specific jurisdiction. Full details are set out in our Legal Templates Disclaimer.
6.3 Platform Intellectual Property
Second Spring Design Inc. owns the Aventide platform, including all code, design, architecture, algorithms, and platform intellectual property.
We own aggregate insights and patterns derived from anonymized, aggregated data across all users. These insights do not represent or expose any individual business's data.
The "Second Spring Design," "Second Spring," and "Aventide" names, logos, and trademarks are the exclusive property of Second Spring Design Inc.
6.4 Third-Party Services and Content
Content generated by our AI model provider (Anthropic) is subject to the terms of that provider.
Third-party integrations (Google, Stripe, QuickBooks, Zoom, Canva, Framer, Instagram, Facebook, Threads, TikTok, LinkedIn, Mailchimp, Slack, and others) are subject to their own terms of service. Publishing integrations (Instagram, Facebook, Threads, TikTok, LinkedIn, YouTube) only publish content you have explicitly created and approved — nothing is posted automatically without your review.
AI-Generated Content Disclaimer
IMPORTANT: The AI strategy agents and recipe outputs are provided for informational and planning purposes only.
AI recommendations do NOT constitute professional business, legal, financial, or tax advice
We make no warranties regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated content
Always review AI outputs critically and consult qualified professionals (accountants, lawyers, financial advisors) before making significant business decisions
Past patterns in our Knowledge Graph do not guarantee future results for your business
AI models can produce incorrect, biased, or outdated information; your judgment as the business owner is essential
You are solely responsible for any actions you take based on AI-generated content
Service Availability and Warranty Disclaimer
We aim for high availability but do not guarantee uninterrupted access to the Service
Scheduled maintenance will be communicated in advance when possible
We are not liable for losses caused by service interruptions, whether planned or unplanned
Third-party integrations (Google, Stripe, QuickBooks, Zoom, Canva, Framer, Instagram, Facebook, Threads, TikTok, LinkedIn, Slack, Anthropic, and others) are subject to their own availability; we cannot guarantee their uptime
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Nothing in these Terms limits any rights you may have under applicable mandatory consumer protection laws in your jurisdiction that cannot be excluded by contract.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Second Spring Design Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity
Our total aggregate liability to you for any and all claims arising from or related to the Service is limited to the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim
We are not responsible for business decisions you make based on AI-generated content or platform recommendations
In no event shall our liability exceed the amounts actually paid by you to us during the applicable period
Nothing in these Terms limits any rights you may have under applicable mandatory consumer protection laws in your jurisdiction that cannot be excluded by contract.
Indemnification
You agree to indemnify, defend, and hold harmless Second Spring Design Inc. and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
Your use of the Service in violation of these Terms
Your violation of any applicable law or third-party rights
Business decisions you make based on platform outputs
Any content you upload or submit through the Service
Any dispute between you and a third party relating to your use of the Service
Termination
11.1 By You
You may cancel your subscription at any time through the billing portal. Your access continues until the end of the current paid billing period. No refunds are provided for partial billing periods.
11.2 By Us
We may suspend or terminate your account if you:
Violate these Terms or our Acceptable Use policy
Fail to pay subscription fees after a reasonable grace period
Engage in fraudulent, abusive, or harmful behavior
11.3 Effect of Termination
Upon termination, your data will be retained for 90 days to allow you to export it. After the 90-day retention period, all data associated with your account will be permanently deleted in accordance with our Privacy Policy.
Dispute Resolution
12.1 Informal Resolution
Before filing a formal dispute, you agree to first contact us at support@aventide.ai and attempt to resolve the matter informally within 30 days.
12.2 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
12.3 Binding Arbitration
Any dispute that cannot be resolved informally under Section 12.1 shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as amended from time to time. The arbitration shall take place in the State of Delaware or, at the election of either party, remotely by telephone or videoconference. The arbitrator's decision shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction. This arbitration clause does not prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm pending the outcome of arbitration.
12.4 Jurisdiction
Any dispute that cannot be resolved informally and is not subject to arbitration under Section 12.3, or any proceeding to enforce or challenge an arbitration award, shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
12.5 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Second Spring Design Inc. regarding your use of the Service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
Changes to Terms
We may update these Terms from time to time. We will notify you via email or in-app notice at least 30 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service and cancel your account.
